Overview

GPM Empire, LLC is hiring a Staff Attorney to support its in-house legal team on the commercial and contract matters that drive GPM's wholesale fuel distribution and fleet fueling operations. The Staff Attorney will process buyout requests and terminations of wholesale customer agreements, draft and review correspondence, ancillary transaction documents, and other contract-related materials (including amendments, consents, and notices), maintain the contracts and matter tracker with regular status reporting to the Deputy General Counsel and senior leadership, review and improve standard form agreements such as supply, consignment, and lease templates, and identify process improvements that increase efficiency in contract intake, drafting turnaround, and legal support for operational teams. The ideal candidate has 2-5 years of transactional or corporate legal experience and is looking for the autonomy and cross-functional exposure that comes with an in-house role at a growing, operationally driven company. This position will report to the Deputy General Counsel.

 

This position is remote-eligible, with a hybrid arrangement available for candidates near GPM’s Richmond, VA or Dallas, TX offices. Occasional travel and in-person attendance may be required based on business needs.

Responsibilities

  • Process buyout requests and terminations of wholesale customer agreements
  • Draft and review correspondence, ancillary transaction documents, and other contract-related materials, including amendments, consents, and notices
  • Maintain and update the contracts and matter tracker, providing regular status reports to the Deputy General Counsel and senior leadership
  • Review and improve standard form agreements (including supply, consignment, and lease templates) based on business feedback, negotiation trends, and lessons learned from prior transactions
  • Identify process improvements to increase efficiency in contract intake, drafting turnaround, and legal support for operational teams
  • Perform other related duties as assigned, consistent with the position’s responsibilities

Qualifications

  • Solid analytical/logical mindset and attention to detail
  • Strong written/verbal communication skills (clear, concise, and confident), along with the ability to communicate effectively with others at all levels of the organization
  • Strong organizational skills with the ability to manage a high volume of concurrent matters
  • Self-motivated and able to prioritize under tight time constraints
  • Ability to work both autonomously and in a team setting
  • Comfort working cross-functionally with non-legal teams such as Operations, Fuel, Logistics, Real Estate, Credit, and Risk Management
  • Experience drafting and negotiating commercial contracts, with familiarity in supply, distribution, lease, or M&A transactions preferred
  • Juris Doctorate
  • Active bar membership in good standing in at least one U.S. state (admission in one or more of the following jurisdictions preferred: Virginia or Texas)
  • 2-5 years of transactional or corporate legal experience, in-house or at a law firm
  • Familiarity with commercial contract law, UCC Article 2 and Article 9 principles, and standard secured transaction and M&A documentation
